Founders Aadit Palicha and Kaivalya Vohra Responded to FEMA-Related Queries Ahead of Proposed ₹10,000 Crore Public Issue

In its Updated Draft Red Herring Prospectus (UDRHP) filed with the Securities and Exchange Board of India (SEBI), Zepto disclosed that founders Aadit Palicha and Kaivalya Vohra received summons from the Enforcement Directorate in April 2026 under the Foreign Exchange Management Act (FEMA). The disclosure forms part of the risk factors and promoter-related litigation section of the filing as the company moves closer to launching one of India’s most anticipated technology IPOs.

According to the filing, the Enforcement Directorate issued summons on April 8, 2026, requesting extensive information related to Zepto's foreign investments, overseas entities, financial records, and shareholding structure.
The agency sought details including audited financial statements from FY21 onwards, shareholding patterns, income tax returns, loans and guarantees, banking information, and documentation relating to the company’s business operations.
Authorities also reportedly requested information regarding Zepto's international holding structure, business agreements, invoices, and transactions involving foreign entities.
The inquiry appears to be linked to compliance under FEMA regulations, which govern foreign exchange transactions and overseas investments involving Indian entities and residents.
Founders Cooperated With Investigation
The UDRHP states that both founders appeared before the Enforcement Directorate on multiple occasions and provided all information requested by investigators.
Kaivalya Vohra reportedly attended hearings on April 17 and April 22, while Aadit Palicha appeared before the agency on April 20 and May 15.
The company emphasized that all requested documents and clarifications were submitted, including additional information sought during follow-up interactions with officials.
Importantly, the filing does not mention any adverse findings, penalties, or enforcement actions against either the company or its founders at this stage.
