Proposed issue includes ₹550 crore fresh equity and ₹450 crore offer for sale; company plans major investments in AI, technology, talent and acquisitions

Real estate services company Anarock Property Consultants Ltd has filed its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (Sebi) to raise up to ₹1,000 crore through an initial public offering (IPO).

The proposed issue comprises a fresh issue of equity shares worth up to ₹550 crore and an offer for sale (OFS) of up to ₹450 crore by existing shareholders. The company may also undertake a pre-IPO placement of up to ₹110 crore, in which case the size of the fresh issue would be reduced accordingly.

The proposed listing is expected on both the BSE and NSE, subject to regulatory approvals and completion of the IPO process.

Fresh issue to fund technology and business expansion

A significant portion of the fresh capital is earmarked for strengthening Anarock's technology capabilities and expanding its business.

The company plans to invest approximately:

  • ₹80 crore in AI augmentation and technology for its transaction advisory business

  • ₹25 crore in technology solutions through ACP

  • ₹15 crore in technology solutions through subsidiary Anacity

  • ₹89.5 crore towards strengthening existing businesses and adding specialised services through talent augmentation

  • ₹148 crore towards the DSP Acquisition

The remaining proceeds are proposed to be deployed towards future acquisitions, strategic initiatives and general corporate purposes.

The allocation indicates that Anarock intends to use the public-market capital not only for conventional expansion but also to increase the technology intensity of its real estate advisory operations.

Investors to sell shares through OFS

The ₹450 crore OFS component will allow existing shareholders to monetise part of their holdings without the proceeds going to Anarock itself.

The selling shareholders include promoter entities Peter Properties Ltd and Khushi Trust, along with investors including funds managed by 360 ONE, Om Sai Trust and Colared Consultants and Traders LLP.

For investors evaluating the IPO, the distinction between the fresh issue and OFS will be important. While the fresh issue provides capital to the company for growth and strategic initiatives, proceeds from the OFS will accrue to the selling shareholders.

₹110 crore pre-IPO placement under consideration

Anarock is also considering a pre-IPO placement of up to ₹110 crore.

If completed, the amount raised through the pre-IPO placement would reduce the size of the fresh issue. Consequently, the final structure and capital raised through the public issue could differ from the maximum amounts outlined in the initial DRHP.

The final IPO size, pricing and shareholding structure will become clearer as the company moves through the regulatory and pre-issue process.

DSP acquisition strengthens integrated real estate offering

The proposed ₹148 crore allocation towards the DSP Acquisition comes shortly after Anarock expanded into architecture and design services.

In September, Anarock announced the acquisition of a 51% stake in DSP Design Associates, a multidisciplinary firm operating across architecture, master planning and interior design. DSP has more than 320 professionals in India and has delivered over 1,000 projects, according to company information.

The acquisition broadens Anarock's service offering beyond advisory and transactions, potentially allowing it to participate across more stages of the real estate development lifecycle — from site selection and transactions to project management, design and delivery.

The transaction also fits with Anarock's strategy of expanding through specialised businesses rather than relying solely on its traditional property-consulting operations.

AI is becoming a key part of Anarock's business strategy

Technology and artificial intelligence are emerging as important components of Anarock's growth strategy.

The company has developed proprietary technology and AI tools for areas including real estate sales, customer lead management, channel-partner engagement and predictive analytics. Anarock's technology platform currently supports various functions across its real estate operations.

The company has also described its Anarock.AI platform as combining generative AI agents with predictive machine-learning models for real estate sales and marketing workflows.

The proposed ₹80 crore investment in AI augmentation and technology for transaction advisory therefore represents an extension of an existing technology-led strategy.

Anarock has expanded beyond residential real estate

Anarock was established in 2017 and has expanded from its initial residential-focused operations into several areas of the real estate ecosystem.

Its businesses now cover segments including commercial, retail, hospitality, logistics, data centres, industrial and land, along with investment banking, research, strategic advisory, valuations and project-management services. The company has also developed technology solutions for real estate sales and marketing.

This diversification could become an important part of the company's equity-market story as investors assess the scalability and resilience of its various business verticals.

Employee base and geographical footprint

According to the IPO-related disclosures reported by PTI, the Anarock Group has approximately 2,300 employees operating across key Tier-I and Tier-II markets in India and the Middle East.

The company's broader business platform gives it exposure to multiple segments of India's property market, while its presence in the Middle East provides an additional geographical component.

Anarock's own recent research publications describe a workforce of more than 2,500 professionals across major Indian and Middle Eastern markets, reflecting the group's continued expansion.

Previous funding from 360 ONE

Anarock had previously raised ₹200 crore from 360 ONE Asset Management in 2024 to support its organic and inorganic growth strategy.

The involvement of institutional investors in both the company's earlier funding and the proposed OFS is likely to draw attention during the IPO process as investors examine the company's capital structure and shareholder composition.

Real estate advisory market provides a broader growth opportunity

The IPO comes at a time when India's real estate market is seeing increasing institutional participation and diversification across residential, commercial, logistics, data centres and other asset classes.

According to an Anarock report, Indian real estate recorded 60 private-equity transactions worth $4.3 billion in FY26, with equity investments accounting for 77% of total deal value. The number of transactions was the highest in seven years, indicating increased activity in real estate capital markets.

For property advisory firms, increased transaction activity can create opportunities across investment advisory, valuations, transaction advisory, research and project-related services.

Key factors investors may track ahead of the IPO

As more information becomes available through the IPO process, investors are likely to focus on several areas:

Revenue mix: The contribution of residential, commercial, capital-markets and other businesses will be important for understanding the company's diversification.

Technology monetisation: The effectiveness of AI and proprietary technology investments in improving productivity, conversion and margins will be a key area to monitor.

Acquisition integration: The company's ability to integrate DSP and future acquisitions while maintaining operational efficiency will influence the returns generated from inorganic expansion.

Fresh issue utilisation: Investors will need to assess how efficiently the ₹550 crore fresh capital is deployed across technology, talent and acquisitions.

OFS component: Since ₹450 crore of the proposed issue is an OFS, investors will need to distinguish between capital raised by the company and liquidity provided to existing shareholders.

Real estate cycle: Anarock's transaction-oriented businesses can remain sensitive to property-market activity, deal volumes and broader economic conditions.

Market Outlook

Anarock's proposed IPO adds another real estate-services company to India's growing public-market pipeline. The issue combines primary capital for technology and expansion with an OFS component from existing shareholders.

The key point for prospective investors will be how effectively Anarock converts its investments in AI, technology, talent and acquisitions into sustainable business growth. The DSP acquisition also signals an attempt to build a broader, integrated real estate-services platform.

With the IPO still at the draft-paper stage, investors will need to wait for subsequent regulatory disclosures, the updated financial information, IPO price band and valuation before assessing the issue's financial metrics and valuation in greater detail.v
